Terms and conditions

1. Introduction and Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Thinkorporation Tech Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office at PLOT NO. 186, 1st FLOOR, VASAVI NAGAR, KARKHANA, SECUNDERABAD, TELANGANA, INDIA, PINCODE: 500015 (“Thinkorporation”, “Company”, “we”, “us” or “our”), which operates and provides services under the brand name “Shoppin”, and any person accessing, browsing, registering on, communicating with, or otherwise using the website www.shoppin.co.in and/or any services made available through or in connection with the same (“Website” or “Platform”).

For the purposes of these Terms, “Shoppin” is a brand and trading identity of Thinkorporation Tech Private Limited and does not constitute a separate legal entity. Any reference to “Shoppin” in these Terms shall accordingly mean and refer to Thinkorporation Tech Private Limited, unless the context expressly requires otherwise.

These Terms govern the Customer’s access to and use of the Platform and all services, facilities, products, arrangements and transactions made available by Thinkorporation under the Shoppin brand, including, without limitation, personal shopping, sourcing, procurement, purchase assistance, product discovery, concierge services, consolidation, inspection, packaging, gifting, domestic and international shipping coordination, sourcing assistance, and such other services as may be introduced by Thinkorporation from time to time (collectively, the “Services”).

By accessing or using the Platform, submitting an enquiry or shopping request, communicating with Shoppin, approving a quotation, authorising a purchase, making any payment, placing a Booking or otherwise availing of any Service, the Customer confirms that the Customer has read, understood and agreed to be bound by these Terms, together with the Privacy Policy, Shipping Policy and any additional terms specifically applicable to a particular Service or Booking.

If the Customer does not agree to these Terms, the Customer shall not access or use the Platform or avail of the Services.

2. Definitions and Interpretation

In these Terms, unless the context otherwise requires:

Headings are inserted for convenience only and shall not affect the interpretation of these Terms. References to the singular shall include the plural and vice versa, and references to any gender shall include all genders. References to “including” or “includes” shall be construed without limitation.

3. Scope and Nature of the Services

Shoppin operates as a technology-enabled shopping, sourcing, procurement and customer assistance platform through which Customers may request Products and related Services from India and, where offered, from other locations.

Depending upon the nature of the request, Shoppin may identify or locate Products, communicate with Sellers, obtain prices and availability, purchase Products upon the Customer’s instructions, facilitate payment to Sellers, coordinate domestic movement of Products, inspect Products, provide photographs or videos, consolidate multiple Products, arrange packaging, coordinate international transportation, assist with customs-related documentation, coordinate returns or exchanges, and provide such other ancillary services as may be agreed between Shoppin and the Customer.

The precise nature and scope of the Services provided in respect of any particular Booking shall be determined by the applicable Quotation, Booking confirmation, communication between the parties and the circumstances of the transaction.

Shoppin reserves the right to modify, expand, suspend or discontinue any Service or feature of the Platform at any time, subject to applicable law and any rights already accrued to a Customer in respect of an accepted Booking.

4. Customer Eligibility and Representations

The Customer represents and warrants that the Customer has the legal capacity and authority to enter into a binding agreement under applicable law. Where the Customer is acting on behalf of a company, partnership, trust, association or other legal entity, the Customer represents and warrants that the Customer has full authority to bind such entity to these Terms.

The Customer further represents that all information furnished to Shoppin, whether during registration, enquiry, product selection, payment, shipping or subsequent communication, shall be true, accurate, complete and not misleading. The Customer shall promptly notify Shoppin of any material change in such information.

The Customer shall use the Platform and Services only for lawful purposes and shall not use the Services for any activity that violates applicable law, infringes the rights of any third party, circumvents applicable customs or import regulations, facilitates fraud or otherwise exposes Shoppin or any third party to legal, financial, regulatory or reputational risk.

5. Formation of Contract and Bookings

A Customer’s enquiry, shopping request, product selection or request for a Quotation shall not, by itself, constitute a Booking or create a binding obligation upon Shoppin to procure or supply any Product.

A Booking shall become binding upon Shoppin only when Shoppin has expressly accepted the Booking and, where applicable, the required payment has been received and successfully processed. Shoppin reserves the right to decline, cancel or modify any request before acceptance for reasons including, without limitation, Product unavailability, pricing errors, Seller restrictions, payment failure, shipping restrictions, customs restrictions, legal or regulatory considerations, suspected fraud or any other legitimate business or compliance reason.

Where a Booking is accepted, the Customer shall be bound by the applicable Quotation / Invoice, Booking confirmation and these Terms, to the extent applicable to the relevant transaction.

In the event of any inconsistency between these Terms and a Booking-specific written agreement expressly issued by an authorised representative of Thinkorporation Tech Private Limited, the Booking-specific agreement shall prevail only to the extent of the specific inconsistency.

6. Product Selection and Customer Approval

Shoppin may assist Customers in identifying Products based upon information provided by the Customer. Product selection may occur through the Website, photographs, videos, live video calls, messaging applications, email, telephone, social media or other communication channels made available by Shoppin.

Where a Customer approves a Product, including through a photograph, video, live video call, written message, email, electronic confirmation or other communication, such approval shall constitute the Customer’s confirmation to proceed with the purchase of the Product described or identified in that communication.

The Customer shall be responsible for reviewing and confirming the Product’s relevant characteristics, including, where applicable, size, colour, model, quantity, dimensions, specifications, material, compatibility and intended use, before providing final approval.

Where a Product is selected based upon a Customer’s own instructions or approval, Shoppin shall not be responsible for the Customer’s subsequent dissatisfaction arising solely from personal preference, change of mind or an expectation that was not expressly communicated to Shoppin before purchase.

7. Product Information, Representations and Availability

Product descriptions, photographs, specifications, dimensions, colours, availability, pricing, warranties and other information displayed or communicated through the Platform may be obtained from Sellers, manufacturers, brands, marketplaces or other third-party sources.

Shoppin shall use commercially reasonable efforts to communicate material Product information accurately; however, Shoppin does not warrant that information originating from a third party will at all times be complete, current, accurate or free from errors.

Colours and visual characteristics may vary depending upon lighting, photography, screen settings and the manner in which the Product is displayed.

Product availability shall not be deemed guaranteed merely because a Product is displayed on the Website or has been identified by Shoppin. Availability shall be confirmed only when the relevant Seller accepts the purchase or Shoppin otherwise confirms procurement.

Where a Product becomes unavailable, is discontinued, materially changes in price or cannot reasonably be procured, Shoppin may notify the Customer and, where appropriate, offer an alternative. The Customer shall have the right to accept or decline such alternative unless otherwise agreed.

8. Third-Party Sellers and Products

The Customer expressly acknowledges that Products sourced through Shoppin may be manufactured, supplied, sold, packaged, warranted or serviced by independent third parties over whom Shoppin may have no ownership or operational control.

Such third parties may include manufacturers, brands, retailers, wholesalers, distributors, independent merchants and sellers operating through third-party marketplaces.

Unless expressly stated otherwise in writing, Shoppin is not the manufacturer of any Product sourced from a Third-Party Seller and does not control the Seller’s manufacturing processes, inventory systems, internal quality-control procedures, warranty decisions, staffing, business continuity, pricing policies or internal operations.

The Customer further acknowledges that a Product may be subject to the Seller’s or manufacturer’s own terms, conditions, warranties, return procedures, exclusions and limitations.

Where a Seller or manufacturer is responsible for a particular warranty, return, replacement, repair or other remedy, Shoppin may, where reasonably practicable, assist the Customer in communicating with such Seller or manufacturer. Such assistance shall not constitute a guarantee by Shoppin that the third party will accept or honour the requested remedy.

Nothing contained in these Terms shall be construed as excluding, restricting or waiving any liability, warranty, guarantee, consumer right or statutory remedy which cannot lawfully be excluded, restricted or waived under applicable law.

9. Third-Party Service Providers

For the purpose of providing or facilitating the Services, Shoppin may engage, appoint, recommend or otherwise interface with independent Third-Party Service Providers, including couriers, freight forwarders, logistics companies, shipping carriers, customs brokers, warehouses, payment processors, banks, foreign-exchange providers, insurers, packaging providers, inspection agencies, technology providers and other service providers.

Such Third-Party Service Providers are independent entities and are not employees, agents, partners, joint venturers or representatives of Shoppin merely by virtue of providing services in connection with a Booking.

Shoppin shall not be responsible for the independent acts, omissions, operational decisions, internal policies, delays, service interruptions, employment practices, technical failures or contractual obligations of a Third-Party Service Provider, except to the extent that liability arises directly from an act or omission of Shoppin itself or cannot lawfully be excluded.

Where Shoppin has undertaken to coordinate or arrange a third-party service, Shoppin’s obligation shall generally be limited to using reasonable commercial efforts to make or facilitate such arrangement. Unless expressly guaranteed in writing, Shoppin does not guarantee the performance, timing, availability or outcome of the underlying third-party service.

10. Third-Party Websites, Marketplaces and Platforms

The Platform, communications or Services may contain links to, references to or integrations with websites, marketplaces, applications, payment interfaces and other digital platforms operated by third parties.

Access to or use of such third-party platforms may be subject to separate terms and privacy policies imposed by their respective operators.

Shoppin does not own or control third-party platforms and, except to the extent required by applicable law, shall not be responsible for their availability, content, accuracy, security, functionality, privacy practices, terms, policies, transactions or conduct.

The Customer shall independently review the applicable terms and policies of any third-party platform where required.

11. Pricing, Quotations / Invoicing

The price communicated by Shoppin may comprise the cost of the Product together with applicable Shoppin service fees, sourcing or procurement charges, handling charges, domestic transportation, packaging, international shipping, insurance, taxes, duties, payment-processing charges, foreign-exchange costs and other charges applicable to the relevant Service.

An Invoice may be issued by Shoppin electronically or in any other legally permissible form after, at the time of, or in connection with a Booking, procurement, delivery or provision of Services, depending upon the nature and stage of the transaction. The applicable Invoice may separately identify the Product amount, Shoppin’s service or procurement charges, applicable taxes, shipping or logistics charges and other amounts payable by the Customer, to the extent applicable.

A Quotation is a commercial estimate or proposal issued by Shoppin for a proposed Booking or Service and, unless expressly stated otherwise in writing, shall not by itself constitute a tax invoice, proof of payment or confirmation that a Product has been purchased. A Quotation may contain the estimated Product cost, Shoppin service or procurement charges, shipping and handling charges, taxes, duties, insurance, payment-processing charges, foreign-exchange costs and other applicable amounts.

Unless expressly stated otherwise, a Quotation is valid only for the period specified in the Quotation and may be revised before procurement where the underlying Product price, availability, currency exchange rate, shipping cost, tax, duty or other relevant cost changes.

The Customer shall review each Quotation / Invoice and promptly notify Shoppin of any material discrepancy, omission or error identified by the Customer. If no objection is raised within a reasonable period having regard to the nature of the transaction, the Quotation / Invoice may be relied upon as part of the transaction record, subject always to any correction required by applicable law.

Where the underlying Product is supplied by a Third-Party Seller, the Customer acknowledges that the Seller may issue its own invoice, bill or other transaction document for the Product. Any invoice issued by Shoppin shall relate to the amounts and Services for which Shoppin is responsible or is authorised to invoice and shall not, unless expressly stated otherwise, be treated as a representation that Shoppin is the manufacturer or independent seller of the Product.

Where a refund, credit, reversal or adjustment is required in respect of a Product purchased from a Third-Party Seller, the corresponding Invoice / transaction record may be adjusted or supplemented by a credit note, revised invoice or other appropriate document, as applicable. Any refund of the Product amount shall remain subject to the applicable Seller’s refund and return process and the Shoppin Shipping Policy, except to the extent Shoppin itself is legally responsible for the relevant amount.

Unless otherwise specified in the applicable Quotation / Invoice or Booking confirmation, payment obligations shall be determined by the amounts, payment schedule and terms communicated by Shoppin. Issuance of an Invoice shall not, by itself, alter the Seller’s terms applicable to a Product, create a warranty by Shoppin, or make Shoppin responsible for any amount that is legally payable by a Third-Party Seller or another third party.

Shoppin shall endeavour to communicate material changes in price before proceeding with a purchase where reasonably practicable.

12. Payment Terms

The Customer shall make payments in accordance with the payment terms communicated in the applicable Quotation / Invoice or Booking confirmation, as applicable.

Depending upon the nature of the Service, Shoppin may require full or partial advance payment before purchasing a Product, commencing procurement, arranging shipping or performing other Services.

A Booking shall not be considered funded merely because the Customer has initiated a payment. Payment shall be deemed received only when the relevant amount has been successfully credited to or confirmed by Shoppin or its authorised payment processor.

Shoppin shall not be obliged to proceed with procurement, shipping or any other Service until the required payment has been successfully received.

13. Payment Processors and Financial Institutions

Shoppin may use independent payment gateways, banks, card networks, payment processors, foreign-exchange providers and other financial institutions for processing Customer payments.

The Customer acknowledges that such transactions may be subject to the terms, conditions, security procedures, fraud controls and processing requirements of the relevant financial institution.

Shoppin shall not be responsible for a payment being declined, delayed, reversed, blocked or otherwise affected by a bank, payment processor, card network or other financial institution, except to the extent such outcome results directly from Shoppin’s own wrongful act or omission.

14. Foreign Exchange

Where a transaction involves conversion between currencies, the amount ultimately charged or refunded may be affected by exchange rates, bank charges, payment-provider charges and other foreign-exchange costs.

The Customer acknowledges that the exchange rate applied by a payment provider or financial institution may differ from publicly displayed exchange rates.

Shoppin shall not be liable for losses arising solely from fluctuations in foreign-exchange rates or charges imposed by independent financial institutions.

15. Cancellation

A Customer may request cancellation of a Booking by contacting Shoppin through the designated communication channel. The ability to cancel a Booking shall depend upon the stage of procurement, the terms of the relevant Seller, the nature of the Product and applicable law.

Where a Product has not yet been purchased, Shoppin shall use reasonable efforts to accommodate a cancellation request. Where a Product has already been purchased, cancellation may be subject to the Seller’s cancellation and return policy and to costs already incurred.

Nothing in this clause shall restrict any cancellation or refund right that is mandatorily available to a Customer under applicable law.

16. Returns, Exchanges and Refunds

Returns, exchanges and refunds shall be governed by the applicable Seller or manufacturer policy, the Shipping Policy, and applicable law.

Where a return or refund depends upon a Third-Party Seller or manufacturer, Shoppin may assist the Customer in communicating with that party and coordinating the applicable process.

Where Shoppin has received a refund from a Seller on behalf of the Customer, Shoppin shall process the corresponding Customer refund in accordance with the applicable policy and law.

Where the Seller has not yet refunded Shoppin, the timing of the Customer’s refund may necessarily depend upon receipt of the corresponding amount, subject always to any mandatory statutory refund obligations applicable to Shoppin.

17. Shipping and Delivery

Shoppin may arrange domestic or international transportation through independent logistics and courier providers.

Any delivery date or delivery period communicated by Shoppin shall be treated as an estimate unless Shoppin has expressly confirmed a guaranteed delivery commitment in writing.

Delivery may be affected by circumstances including customs clearance, carrier delays, weather conditions, public holidays, strikes, transportation disruptions, security inspections, government restrictions, incorrect or incomplete delivery information, recipient unavailability and other circumstances beyond Shoppin’s reasonable control.

18. International Shipments and Customs

International shipments may be subject to the laws, regulations, procedures and requirements of India and the Destination Country.

The Customer acknowledges that Products available for lawful purchase or sale in India may be prohibited, restricted, regulated or subject to special import requirements in the Destination Country.

Customs authorities may inspect, open, detain, delay, assess, return, confiscate or otherwise deal with shipments in accordance with applicable law.

Shoppin does not guarantee that any particular Product will be permitted into the Destination Country, nor does Shoppin guarantee the amount of customs duty, tax, assessment or other governmental charge that may be imposed.

Where applicable, the Customer shall provide accurate information and documentation required for shipment and customs processing and shall bear those duties, taxes, fees and charges which are legally or contractually attributable to the Customer.

19. Importer Responsibility

Unless expressly agreed otherwise in writing, the Customer acknowledges that the importation of Products into the Destination Country may subject the Customer to obligations under the laws of that country, including obligations relating to customs declarations, duties, taxes, permits, licences and import restrictions.

The Customer shall not instruct Shoppin to purchase or ship any Product where the Customer knows, or reasonably ought to know, that such Product cannot lawfully be imported, possessed or used in the Destination Country.

Shoppin reserves the right to refuse or cancel any transaction where it reasonably believes that the proposed transaction may violate applicable export, import, customs, sanctions, trade-control or other laws.

20. Prohibited and Restricted Products

Shoppin reserves the right to refuse to procure, handle, consolidate or ship Products which are prohibited or restricted under applicable law, customs regulations, carrier policies, payment-provider requirements or Shoppin’s internal compliance standards.

This may include, without limitation, dangerous goods, controlled substances, unlawful goods, counterfeit goods, prohibited weapons, restricted materials and other items for which transportation, export, import, possession or sale is prohibited or restricted.

The Customer shall not use Shoppin to circumvent any legal, regulatory, customs, sanctions or trade restriction.

21. Customer Responsibility for Information

The Customer shall be solely responsible for the accuracy and completeness of information supplied to Shoppin in connection with a Booking, including the Customer’s name, contact details, delivery address, postal code, Product specifications, measurements, customs information and any documentation requested for fulfilment.

Where a delay, failed delivery, customs issue, additional charge or return results from incorrect, incomplete or misleading information supplied by the Customer, the Customer may be responsible for the resulting reasonable costs to the extent permitted by applicable law.

22. Inspection, Photographs and Video

Where Shoppin offers Product inspection, photography or video services, such services are intended to provide the Customer with reasonable visual information concerning the Product before dispatch.

Unless expressly agreed otherwise, such inspection does not constitute a technical inspection, laboratory examination, professional certification, authenticity certification, engineering assessment or guarantee of future performance.

Visual inspection may not identify concealed defects, internal damage, manufacturing defects or other issues which are not reasonably observable through ordinary inspection.

23. Authenticity and Counterfeit Products

Shoppin shall not knowingly procure counterfeit or unlawfully misrepresented Products.

Where Shoppin expressly represents or warrants the authenticity of a Product, such representation shall be subject to the specific terms communicated in writing.

Where Products are procured from independent Sellers, the Customer acknowledges that Seller representations may form part of the information available to Shoppin. Where an authenticity issue arises, Shoppin may investigate and take commercially reasonable steps to address the matter, subject to applicable law and the relevant transaction circumstances.

Nothing in these Terms shall limit any liability that arises where Shoppin itself expressly guarantees authenticity or where applicable law imposes non-excludable liability.

24. Risk of Loss, Title and Ownership

The legal ownership of a Product and the allocation of risk in respect of the Product shall depend upon the nature of the transaction, the applicable purchase arrangement, the relevant Seller’s terms, the shipping arrangement and applicable law.

The mere fact that Shoppin facilitates procurement, receives a Product for consolidation or coordinates shipment shall not, by itself, be interpreted as creating an unconditional transfer of ownership to Shoppin.

Where a particular Booking requires Shoppin to acquire temporary possession or title to a Product for the purpose of providing the Services, the rights and obligations of the parties shall be determined in accordance with the specific transaction and applicable law.

25. Third-Party Warranties and Manufacturer Support

Where a Product carries a manufacturer’s or Seller’s warranty, the applicable warranty shall be governed by the terms issued by that manufacturer or Seller.

Shoppin may assist the Customer in communicating with the relevant party but does not guarantee that a manufacturer or Seller will approve a warranty claim.

Warranty availability may vary depending upon the country of purchase, country of use, Product category, registration requirements and manufacturer’s policies.

26. Customer Indemnity

To the maximum extent permitted by applicable law, the Customer agrees to indemnify, defend and hold harmless Thinkorporation Tech Private Limited, its directors, officers, employees, consultants, contractors, affiliates and authorised representatives from and against claims, proceedings, liabilities, losses, damages, penalties, costs and reasonable legal expenses arising out of or in connection with the Customer’s breach of these Terms, violation of applicable law, fraudulent or unlawful use of the Services, submission of inaccurate or misleading information, infringement of a third party’s rights through materials or instructions supplied by the Customer, or any unlawful instruction given by the Customer in connection with the procurement, shipment, importation or use of a Product.

The foregoing indemnity shall not apply to the extent that the relevant loss or claim is finally determined to have resulted from the fraud, wilful misconduct or liability of Shoppin that cannot lawfully be transferred to the Customer.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Thinkorporation Tech Private Limited shall not be liable for any indirect, incidental, special, exemplary or consequential loss or damage, including loss of profits, revenue, business, opportunity, goodwill or anticipated savings, arising out of or in connection with the use of the Platform or Services.

Shoppin shall not be responsible for losses arising solely from the acts or omissions of independent Sellers, manufacturers, courier companies, logistics providers, payment processors, banks, customs authorities, government authorities or other third parties, except to the extent that such liability is imposed upon Shoppin by applicable law or arises from Shoppin’s own acts or omissions.

Subject to applicable law and excluding liability which cannot lawfully be limited or excluded, the aggregate contractual liability of Thinkorporation Tech Private Limited arising directly from a particular Booking shall not exceed the amount actually paid to Thinkorporation Tech Private Limited by the Customer for the specific Service giving rise to the claim.

Nothing contained in these Terms shall exclude or limit liability for fraud, wilful misconduct, or any other liability which cannot lawfully be excluded or limited under applicable law.

28. Force Majeure

Shoppin shall not be liable for any delay, interruption, suspension or failure to perform its obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, governmental action, sanctions, embargoes, strikes, labour disputes, transportation disruption, customs restrictions, booking closures, supplier failures, courier disruption, telecommunications failures, cyber incidents, payment-network failures, power failures or other events beyond Shoppin’s reasonable control.

Where such circumstances occur, Shoppin shall use commercially reasonable efforts to resume or complete the affected Services as soon as reasonably practicable.

29. Fraud, Misuse and Abuse

Shoppin reserves the right to suspend, restrict, refuse or terminate access to the Platform or Services where it reasonably suspects fraudulent activity, payment abuse, identity misrepresentation, unlawful activity, repeated abusive return or refund behaviour, chargeback abuse, misuse of promotional offers, circumvention of security controls or other conduct that may expose Shoppin or its customers to legal, financial or operational risk.

Where legally required, Shoppin may cooperate with relevant authorities in relation to suspected unlawful activity.

30. Chargebacks and Payment Disputes

Where a Customer disputes a transaction through a bank, card issuer, payment provider or other financial institution, Shoppin may provide transaction records, communications, Booking confirmations, delivery information and other relevant documentation to the applicable institution for the purpose of responding to the dispute.

Nothing in this clause restricts a Customer’s lawful right to raise a genuine payment dispute or seek a remedy available under applicable law.

31. Intellectual Property

All intellectual property rights in and to the Shoppin brand, including its name, logos, trademarks, website design, software, content, graphics, text, photographs, videos, databases and other proprietary materials, are owned by or licensed to Thinkorporation Tech Private Limited or its respective licensors.

Except as expressly permitted by law or authorised in writing by Thinkorporation Tech Private Limited, no Customer shall reproduce, modify, distribute, publish, transmit, sell, license, commercially exploit or otherwise use any such intellectual property.

32. Customer Content and Feedback

Where a Customer voluntarily submits reviews, feedback, photographs, comments, suggestions or other material to Shoppin, the Customer represents that the Customer has the right to submit such material and that its submission does not violate any third-party rights.

Subject to applicable law and privacy requirements, the Customer grants Thinkorporation Tech Private Limited a non-exclusive, royalty-free licence to use such material for the purposes of operating, improving, analysing and promoting the Services.

33. Privacy and Personal Data

The collection, use, storage, disclosure and processing of personal data by Shoppin shall be governed by the Shoppin Privacy Policy and applicable data-protection laws.

Where fulfilment of a Booking requires disclosure of Customer information to Sellers, manufacturers, couriers, logistics providers, customs authorities, payment processors or other service providers, the Customer acknowledges that such disclosure may be necessary for the provision of the Services and shall be undertaken in accordance with applicable law.

34. Electronic Communications and Records

The Customer consents to receiving communications electronically through email, telephone, SMS, WhatsApp, notifications or other electronic communication channels used by Shoppin.

The Customer acknowledges that electronic communications, approvals, confirmations, invoices, payment records and transaction records may constitute evidence of the relevant transaction, subject to applicable law.

35. Grievance Redressal

36. Suspension and Termination

Shoppin may suspend or terminate a Customer’s access to the Platform or Services where permitted by law if the Customer materially breaches these Terms, engages in fraudulent or unlawful conduct, provides materially false information, misuses the Services or otherwise creates a material legal, financial, security or operational risk for Shoppin.

Termination shall not affect rights or obligations accrued before the effective date of termination.

37. Amendment of Terms

Shoppin reserves the right to amend or update these Terms from time to time to reflect changes in its Services, business practices, applicable law, regulatory requirements or technology.

The revised Terms shall be published on the Website with the updated effective date. Where applicable law requires specific notice or consent for a material amendment, Shoppin shall comply with such requirement.

38. Severability

If any provision of these Terms is determined by a court, tribunal or competent authority to be unlawful, invalid or unenforceable, that provision shall, to the extent legally permissible, be modified or severed, and the remaining provisions shall continue in full force and effect.

No failure or delay by Shoppin in exercising any right, power or remedy under these Terms shall constitute a waiver of that right, power or remedy.

40. Assignment

The Customer shall not assign, transfer, novate or otherwise dispose of any rights or obligations arising under these Terms without the prior written consent of Thinkorporation Tech Private Limited.

Thinkorporation Tech Private Limited may assign, transfer or novate its rights and obligations under these Terms to an affiliate, successor, purchaser of its business or assets, or other entity in connection with a corporate restructuring, merger, acquisition, sale, financing or similar transaction, subject to applicable law.

41. Independent Contractor Relationship

Nothing contained in these Terms shall be construed as creating a partnership, joint venture, employment relationship, fiduciary relationship or general agency relationship between the Customer and Thinkorporation Tech Private Limited.

Nothing contained herein shall create any relationship between the Customer and a Seller or Third-Party Service Provider other than that which may arise independently from the underlying transaction.

42. Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, applicable Quotation / Invoice, Booking confirmation and any other written terms expressly incorporated into a particular transaction, constitute the entire agreement between the Customer and Thinkorporation Tech Private Limited in relation to the subject matter hereof and supersede prior communications and understandings concerning such subject matter, except to the extent expressly preserved in writing.

43. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Nothing in these Terms shall deprive a Customer of any mandatory statutory right or remedy available under applicable consumer protection, data protection or other applicable law.

44. Dispute Resolution and Jurisdiction

The parties shall endeavour in good faith to resolve any dispute, concern or claim arising out of or relating to the Services through Shoppin’s customer support and grievance redressal mechanism before commencing formal proceedings, except where immediate legal action is necessary to protect a party’s rights or where applicable law provides otherwise.

Subject to mandatory jurisdictional rights available to consumers and other applicable law, the courts having competent jurisdiction at Secunderabad, Telangana shall have jurisdiction over disputes arising out of or relating to these Terms or the Services.
